Thames Water Creditors Approve Ninth Consent Requests For Further Funding Of £205 Million

The consents follow eight previous sets of consent requests which were approved by creditors.

Thames Water has so far drawn £1.631 billion of the £2.25 billion available under the super senior facility entered into with its subsidiary, Thames Water Super Senior Issuer PLC.

The consents will allow Thames Water to draw a further £205 million of the Facility in April 2026. Following the approvals , TWUL and the Super Senior Issuer will now proceed with the implementation of the consents and amendments outlined in the Ninth Consent Requests. The approvals extend the June Release Condition deadline from 31 March to 30 April 2026.

As previously announced, TWUL and the Super Senior Issuer have secured commitments of £823 million, made up of the first £750 million tranche of the Accordion Facility plus a shortfall amount of c. £73 million (the New Commitments), bringing the total amount which is available and undeferred under the Facility to £2.25 billion.

Funding of the New Commitments remains subject to the satisfaction and/or waiver of relevant conditions precedent, some of which, as at Friday 24 April, have not yet been satisfied and/or waived in full.

These include having a Supported Lock-Up Agreement LUA) – the financial agreement required for the water company’s restructuring plan ( RP2) to unlock emergency funding.in respect of the June Release Condition.

Annoucing the consents, Thames Water said it continues to work closely with stakeholders to secure a market-led solution.
